Terms of Service

These Terms of Service ("Terms") govern your access to and use of the He Whare Ora platform ("Platform"), operated by Coruscant Capital Holdings ("we", "us", "our"). By creating an account or otherwise using the Platform, you agree to be bound by these Terms.

1. The Platform

He Whare Ora ("House of Wellbeing") is a property and tenant management platform with Māori housing principles embedded in its design. The Platform serves property operators, tenants, contractors and platform administrators across residential, social and commercial portfolios.

2. Eligibility & accounts

You must be at least 18 years old and legally able to enter into a binding contract. You are responsible for keeping your sign-in credentials confidential and for all activity that occurs under your account. Notify us immediately of any unauthorised access.

3. Acceptable use

• Do not use the Platform for any unlawful purpose or in breach of tenancy or housing legislation in your jurisdiction.
• Do not attempt to access data belonging to other tenants, operators or organisations.
• Do not interfere with the integrity, security or performance of the Platform.
• Do not upload malicious code, spam, harassing content or material you do not have rights to share.

4. Subscriptions & payments

Paid plans are billed through Stripe in the currency shown at checkout (NZD by default). Subscriptions renew automatically until cancelled. You can manage or cancel your subscription from your account at any time. Government and Enterprise tiers may be governed by separate written agreements.

5. Tenant & property data

Operators are the data controllers for tenant and property records they upload. We act as a data processor for that information and only use it to provide the Platform. See our Privacy Policy for full detail.

6. Intellectual property

The Platform, its branding (including the names "He Whare Ora", "Coruscant" and "Mahi Paurini"), source code, and content created by us are owned by Coruscant Capital Holdings. You retain ownership of the data you upload and grant us a limited licence to host and process it solely to operate the Platform.

7. Cultural integrity

He Whare Ora is grounded in Māori housing values. Te reo Māori terms and tikanga embedded in the Platform must not be removed, misappropriated or used to suggest endorsement by iwi, hapū or whānau without their consent.

8. Service availability

We aim to keep the Platform available 24/7 but do not guarantee uninterrupted service. We may suspend access for maintenance, security, or to investigate suspected misuse.

9. Termination

You may close your account at any time. We may suspend or terminate accounts that breach these Terms, fail to pay, or pose a risk to other users. On termination, we will retain or delete data in line with the Privacy Policy and applicable law.

10. Liability

To the maximum extent permitted by law, the Platform is provided "as is". Our aggregate liability arising out of or relating to these Terms is limited to the fees you paid in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under New Zealand consumer law.

11. Governing law

These Terms are governed by the laws of New Zealand. The courts of New Zealand have exclusive jurisdiction over any dispute, except where local consumer law gives you rights to bring proceedings elsewhere.
